What Is VP (Vacant Possession) in Malaysia

Vacant possession explained for Malaysian new-home buyers: the 36-month and 24-month deadlines, what must be ready, late-delivery damages and what to check at handover.

What Is VP (Vacant Possession) in Malaysia

The short answer

VP, vacant possession, is the day the developer hands you the keys to your completed, empty home. For a new home, it is the moment the building stops being a promise and becomes something you can use.

Under the standard Schedule H agreement for strata homes in Peninsular Malaysia:

  • Deadline: VP must be delivered within 36 months from the date of the SPA. The Schedule G form for landed homes sets 24 months.
  • What must be ready: a certificate of completion and compliance (CCC), the separate strata title (or the Controller's written certification if the title is delayed), and water and electricity ready for connection. The keys are handed over with VP.
  • If it is late: the developer pays liquidated damages at 10% a year of the price, counted day by day.
  • What starts on that day: your share of charges, the 24-month defect liability period, and the final payment stages.

On a RM 500,000 home, each day of late VP is worth about RM 137 in damages. To see the loan side, use the loan calculator. Want me to work it out for your own case? WhatsApp +60 17-279 8932.

What VP means, in plain words

"Vacant" means empty: no one else is living there, nothing is left inside that should not be. "Possession" means you get control of the home and the keys.

For a subsale home, VP is usually given on the completion date in the SPA, once the balance is paid. For a new home from a developer, VP marks the end of construction, and the law sets the conditions.

The Schedule H form says the developer shall let you into possession upon all of these:

  1. The certificate of completion and compliance has been issued.
  2. The separate strata title for the unit has been issued.
  3. Water and electricity supply are ready for connection to the unit.
  4. You have paid the sums due under the payment schedule and performed your side of the SPA.
  5. Any alteration or additional work you agreed with the developer is complete.

The form also says VP must be supported by the CCC and includes the handing over of the keys. A partial CCC does not count: the definition of CCC in the form excludes it.

The deadline: 36 months and 24 months

FormUsed forVP deadline
Schedule HA unit in a building subdivided into parcels, such as a condominium or apartment36 months from the SPA date
Schedule GA landed house24 months from the SPA date

The clock starts on the date of your SPA. Two buyers in the same project who signed a year apart have different deadlines. Keep a copy of your SPA and note the date.

The Schedule H form also requires the common facilities to be completed within 36 months of the SPA, certified by the developer's architect.

Late VP: what the developer owes you

If VP comes late, the Schedule H form makes the developer pay liquidated damages, often called LAD:

  • Rate: 10% a year of the purchase price.
  • Counted: day by day from the end of the 36 months until the date you take VP.
  • Paid: right after the developer gives notice to take possession. If not paid, you may deduct it from any instalment due to the developer.

There is a similar rule for common facilities: if they are late, the damages are 10% a year on the last 20% of the price.

Worked example: a RM 500,000 condominium

Same assumptions as the DSR guide: a RM 500,000 home, a 90% loan of RM 450,000, 30 years, an assumed 4.2% a year. The rate is for illustration only.

Late VP damages (example)

VP comesDamages at 10% a year of RM 500,000
1 month lateabout RM 4,200
3 months lateabout RM 12,500
6 months lateabout RM 25,000
12 months lateRM 50,000

Late common facilities (example). If the pool and gym came six months late, the damages would be 10% a year on RM 100,000 (the last 20% of the price), so about RM 5,000.

What you pay at VP. Under the Schedule H payment schedule, the last three stages fall at VP: 17.5% (RM 87,500) on VP with water and electricity ready, 2.5% (RM 12,500) when the transfer and title are handed over, and 5% (RM 25,000) held by the developer's solicitors as stakeholder, released 2.5% after 8 months and 2.5% after 24 months. With a 90% loan, the bank pays these from your loan. Around this time the loan is usually fully paid out and the full instalment of about RM 2,201 a month begins.

Monthly costs that start. From VP you also pay maintenance charges and the sinking fund, and, from VP or transfer, whichever comes first, quit rent and assessment. As an example only, a unit with charges of RM 300 a month would also pay at least RM 30 a month to the sinking fund. See maintenance fee and sinking fund.

Deemed VP: when you do not collect the keys

The Schedule H form has a deemed VP rule. Thirty days after the developer serves notice asking you to take possession, you are treated as having taken VP, whether or not you collected the keys.

This matters because the defect liability period, the stakeholder release dates and your charges can all run from that date. If you are overseas or busy, arrange for someone you trust, or your lawyer, to inspect and collect within the 30 days.

The defect liability period starts at VP

In the Schedule H form, any defect, shrinkage or other fault in the unit, the building or the common property that appears within 24 months after VP, and is due to poor workmanship or materials or to work not built to the approved plans, must be repaired by the developer at its own cost within 30 days of your written notice.

If it is not, you may carry out the repair and claim the cost, following the steps in the form, including giving the developer notice and a chance to do it first. The 5% stakeholder sum can be used for this.

Handover checklist

Before you go

  • Read the VP notice: the date, what you must pay, and which documents to bring.
  • Check the CCC has been issued. Ask for a copy.
  • Pay the deposits for water and electricity that the notice asks for.
  • If you are not going yourself, appoint someone in writing.

At the unit

  • Doors, windows and locks open and close properly.
  • Walls, ceilings and floors: cracks, hollow tiles, uneven surfaces, stains.
  • Water: every tap, shower and toilet; look for leaks under sinks.
  • Electricity: every switch and socket, the distribution board.
  • Wet areas: water flows to the floor trap, no pooling.
  • Fittings and the specifications match what the SPA lists.
  • The car park bay and any accessory parcel are the ones in your SPA.

After

  • Report defects in writing, with photos and dates. Keep a copy.
  • Follow up after 30 days if not repaired.
  • Note the two stakeholder release dates: 8 months and 24 months after VP.

Mistakes buyers make

  • Not knowing the SPA date, so not knowing when VP was due.
  • Ignoring the VP notice, so deemed VP starts the defect clock without an inspection.
  • Reporting defects by phone only, with no written record.
  • Forgetting to claim late delivery damages, or not checking the developer's calculation.
  • Accepting the keys on a partial CCC.

Check before you sign

This page explains how VP generally works under the standard Schedule H agreement in Peninsular Malaysia. It is not legal advice. Your own SPA governs, and projects licensed before July 2015 may use older wording. If VP is late, ask your lawyer to check the damages. Frequently Asked Questions

What does vacant possession mean?

It means the developer hands over the completed home to you, empty and ready for you to use, together with the keys. In the standard Schedule H agreement, VP must be supported by a certificate of completion and compliance and water and electricity must be ready for connection.

How long does a developer have to deliver VP?

Under the Schedule H form for strata homes, 36 months from the date of the SPA. Under the Schedule G form for landed homes, 24 months. The clock starts from the SPA date, not from the start of construction.

What compensation do I get if VP is late?

Under the standard forms, liquidated damages at 10% a year of the purchase price, counted day by day from the deadline until you take VP. On a RM 500,000 home that is about RM 137 a day.

What if I do not collect the keys?

Under the Schedule H form, you are treated as having taken VP 30 days after the developer's notice to take possession, whether you collect the keys or not. Charges and the defect liability period can start from then.

When does the defect liability period start?

From the date you take vacant possession. In the Schedule H form, defects that appear within 24 months after VP and are due to poor workmanship or materials must be repaired by the developer within 30 days of your written notice.

Can I get VP before the strata title is issued?

The Schedule H form lists the strata title as one of the conditions for VP. If the title is delayed for a reason not caused by the developer, the developer may apply to the Controller of Housing for written certification to deliver VP without it, and must give you a copy.
